TO REVIEW & AMEND IACA ARTICLES OF INCORPORATION & BY-LAWS

A General Body Meeting (GBM) of IACA was called TO REVIEW & AMEND IACA ARTICLES OF INCORPORATION & BY-LAWS on Sunday, November 17, 2024. In this meeting there was no sufficient quorum present to hold the meeting and Chairman of IACA adjourned the GBM.

The Board of Directors (BOD) of IACA, in its meeting held on November 24th, 2024, decided to hold the adjourned General Body Meeting (GBM) of IACA TO REVIEW & AMEND IACA ARTICLES OF INCORPORATION & BY-LAWS on Sunday, December 8, 2024, at 11455 Lakefield Dr. Ste. #100B, Johns Creek, GA 30097. This meeting will start at 3:00 PM EST as per the agenda given below –

AGENDA FOR THE GENERAL BODY MEETING

3:00 PM         Opening remarks by the IACA Chairman of the Board of Directors

3:10 PM         Proposed IACA Bylaws Amendments 1, 2 & 3 (See attach 1)

3:15 PM         Discussion and approval in the General Body Meeting of IACA

Note 1: Current copy of IACA Articles of Incorporation and Bylaw is on IACA website https://www.iacaatl.org

Note 2: The proposed amendments would be voted upon for bylaws amendment after discussions among present members. Discussions and voting process will be as per current IACA bylaws. 

4:30 PM         Adjournment of the GBM (Chairman)                                   

Please bring a valid picture ID issued by a government agency (example ~ Driver’s License, Passport, Tax Documents or State ID Card etc.) and other supporting documents to establish your valid IACA membership. If documentary proof as required by the IACA Constitution and Bylaws is not provided, you may not be allowed to vote.

Section II: Officers and their duties

d) Paragraph 2

The president shall appoint the membership committee, the Festival of India Committee, the Sanatan Mandir (temple) committee and any other religious committee if required within six weeks after assuming his/her office.

Instead of

BY-LAWS GOVERNING THE CONDUCT OF THE GENERAL BODY AND THE EXECUTIVE COMMITTEE

Section III: Election of the officers

d) The notice for the meetings in which elections are to be held shall be circulated to members at least two weeks in advance. After receiving this notice, a member must inform the President or Chairman (by email provided in the notice) if she/ he wants to vote electronically.

Section IV: General Body meetings

There shall be at least one general body meeting each calendar year to elect the new officers. The president shall call a general body meeting whenever he finds it necessary by giving two weeks written notice. After receiving this notice, a member must inform the President or Chairman (by email provided in the notice) if she/ he wants to vote electronically. The president shall call a general body meeting if 10% of the members of the Association sign a petition requesting such a meeting. The president shall also call a general body meeting if two-third majority of the Board of Directors request. A minimum of 10% of the members will constitute a quorum.

A majority vote will carry the decisions. If the meetings were held before September 30, the members who paid their dues by the date when the notice for such a meeting is announced, shall be eligible to vote. In the event there is no quorum at the general body meeting, a second general body meeting will be called after due notice. Members present at this second general body meeting shall constitute a quorum. The general body meeting shall be chaired by the chairperson of the Board of Directors. In his or her absence the President shall chair the meetings.

Mazumdar-ShawExecutive Chairperson – Biocon Limited and Biocon Biologics Limited
Kiran Mazumdar-Shaw serves as Chairman and Managing Director of India’s leading Biotechnology enterprise, Biocon.
She is highly respected in the corporate world and has been recently voted by Nature Biotechnology as The Most Influential in Bio-business person outside Europe and USA.Ms. Shaw received a graduate honors degree in Zoology from Bangalore University (1973) and qualified as a Master Brewer from Ballarat University, Australia (1975).
Ms Shaw also received an honorary Doctorate of Science in 2004, from her alma mater, Ballarat University, in recognition of her pre-eminent contributions to the field of Biotechnology. She has also been awarded honarary doctorates from University of Abertay, Dundee, U.K. (2007), University of Glasgow, U.K. (2008) and Heriot-Watt University, Edinburgh, U.K. (2008).
Ms Shaw chairs Karnataka’s Vision Group on Biotechnology and also served on the Board of Science Foundation, Ireland. She presently serves on the Advisory Council of the Government’s Department of Biotechnology where she has been instrumental in bringing government, industry and academia together, to chart a clear and progressive growth path for Biotechnology in India. Most recently, she has been invited to join the Prime Minister’s Council on Trade & Industry in India and the US-India CEO Forum.
Ms. Shaw is the recipient of several prestigious awards including the ET Businesswoman of the Year, Ernst & Young’s Entrepreneur of the Year Award for Life Sciences & Healthcare, Technology Pioneer, etc. Her most cherished awards are the national awards, PADMASHRI (1989) and PADMA BHUSHAN (2005) presented to her by the President of India, for her pioneering efforts in Industrial Biotechnology.
Under her stewardship, Biocon has evolved from its inception in 1978 as an industrial enzymes company to a fully integrated Bio-pharmaceutical enterprise encompassing a well balanced business portfolio of products and services with a research focus on Diabetes, Oncology and Auto-immune disease. During this transition, Biocon has established 2 subsidiaries: Syngene (1994) to provide development support services for discovery research and Clinigene (2000) to cater to services in clinical development.
